Posting of Circular and Notice of General Meeting to approve the Proposed Disposal of King Systems Corporation ("King") to Ambu A/S; directorate change.

Posting of Circular

Further to the announcement of its proposed disposal of King on 20 December 2012 (the "Proposed Disposal"), Consort confirms that a circular (the "Circular"), containing full details of the Proposed Disposal, has been posted to its shareholders today. A copy of the Circular can be found on Consort's website at www.consortmedical.com.

The Circular contains a notice of a general meeting (the "General Meeting") to consider and, if thought fit, approve a resolution (the "Resolution") authorising Consort to complete the Proposed Disposal. Subject to approval of the Resolution, the Proposed Disposal is expected to complete on 15 February 2013. The General Meeting will be held at 10.00 am on 15 February 2013 at the offices of Allen & Overy LLP, One Bishops Square, London E1 6AD.

In conformity with Listing Rules 9.6.1R and 9.6.3R, the Circular has also been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do.

Directorate Change

The Company also announces that Nick Higgins, Corporate Development Director, will be leaving the Company and resigning as a Director effective 28th February 2013 to pursue a career as an independent consultant. Nick joined Consort in January 2010 as Director of Corporate Development and was appointed to the Board in January 2011. Following Nick's departure, Consort's growth strategy will not change. We will continue to look at a range of organic and non-organic growth opportunities using a variety of Business Development resources.

Nick was integral to the formulation of the strategy that the Group has been successfully following for the past three years and led the process managing the strategic divestment of King Systems.
