Northumbrian Services Limited09 March 2006 Circ re Meeting of Bondholders Northumbrian Services Limited (the "Company") - Proposed substitution ofNorthumbrian Water Finance plc (the "Substitute Issuer") for the Company asissuer in relation to £350,000,000 6.875 per cent. Guaranteed Bonds due 2023 ofthe Company (the "Bonds") The Company announces that it is asking the holders (the "Bondholders") of theBonds to consent, at a meeting (the "Meeting") of the Bondholders to be on heldat 10.00 a.m. at the offices of CMS Cameron McKenna LLP at Mitre House, 160Aldersgate Street, London EC1A 4DD, to the terms of an Extraordinary Resolutionto approve (a) the substitution of the Substitute Issuer for the Company asprincipal debtor under the trust deed constituting the Bonds, the Bonds and thebearer coupons relating to the Bonds and (b) amendments to certain provisions ofthe trust deed constituting the Bonds as a result of such substitution (the"Proposal"). Notice of the Proposal and of the Meeting has been published in the FinancialTimes on 9 March 2006. The Proposal is more fully set out in a circular (the"Circular") issued by the Company. Copies of the Circular may be inspected orobtained on personal application by or on behalf of Bondholders at the officesof The Bank of New York at 1 Canada Square, London E14 5AL and Dexia BanqueInternationale a Luxembourg at 69 route d'Esch, L-2953 Luxembourg, Paying Agentsunder the Bonds.
