Change of the composition of the Board of Directors of S.N.G.N. ROMGAZ S.A.

The Board of Directors has acknowledged the resignation of Mr. David Harris Klingensmith from his position as Director of S.N.G.N. ROMGAZ S.A. and, in compliance with the Article 17 paragraph 13 of the Articles of Incorporation of the Company, it establishes that the resignation from the position as Director of S.N.G.N. ROMGAZ S.A. will be effective starting with January 18, 2015.

Also, in compliance with the provisions of Article 1372 paragraph 1 of the Company Law no.31/1990 and the provisions of Article 17 paragraph 9(1) of the Articles of Incorporation, the Board of Directors has appointed Mrs. Sorana Baciu as interim Director of S.N.G.N. ROMGAZ S.A. until the convening of the Ordinary General Meeting of Shareholders.

Mrs. Sorana Baciu's mandate as interim Director of S.N.G.N. ROMGAZ S.A. will be effective starting with January 19, 2015.
