CHANGE OF SHAREHOLDER CONTROL
Moscow, 20 December 2010. OAO NOVATEK ("NOVATEK", or "Company") today announced a change of control of a shareholder holding more than five percent of the Company's ordinary shares.
On 20 December 2010, the Company was notified by DHIGNFINOLHU HOLDING LIMITED that it acquired an indirect control over 285 508 031 ordinary shares, representing 9.4% of NOVATEK's charter capital, from OAO Gazprom.
This equity stake is currently owned by ZGG CAYMAN HOLDING LIMITED, 100% of which had been acquired on 20 December 2010 by DHIGNFINOLHU HOLDING LIMITED, a special purpose entity acting on behalf of OAO Gazprombank in respect of this transaction.
