Origo Partners Plc
Change of name and result of Partial Cash Alternative
Further to the announcement of 11 December, Origo Partners plc (the "Company") announces that the name change from Origo Sino-India plc to Origo Partners plc and new TIDM codes, 'OPP' for the ordinary shares of the Company and 'OPPW' for the warrants of the Company, have taken effect. The Company's website remains www.origoplc.com.
The merger of the Company and Origo Resource Partners Limited ("ORP") was completed on 14 December 2009. On that date, the Scheme became effective in accordance with its terms and the listing of the ORP Shares was cancelled. Valid tenders pursuant to the Partial Cash Alternative were received for 28.6 per cent (13,877,138 ordinary shares) of the issued share capital of ORP; Shareholders who tendered their Initial Shares (10 per cent of their shares) will have their basic entitlement satisfied in full and Shareholders who tendered Additional Shares will be scaled-back pro rata with each such shareholder receiving cash in respect of 26.3 per cent of their election for Additional Shares.
Following completion of the Merger and the Partial Cash Alternative, the Company has a total of 220,019,881 Ordinary Shares of £0.0001 each in issue.
Capitalised terms used in this announcement and not otherwise defined herein have the same meanings given in the circular containing the formal terms and conditions of the Partial Cash Alternative sent to Shareholders on 10 November 2009.
