for the purposes of financing loans toOpen Joint Stock Company Severstal
NOTICE IS HEREBY GIVEN that with effect from 30 June 2008 Steel Capital S.A. has been substituted in place of Citigroup Global Markets Deutschland AG & Co. KGaA (“Citi Germany”) in accordance with the terms and conditions of the Notes, the trust deed dated 19 April 2004 relating to the 2014 Notes (the “2014 Trust Deed”) and the trust deed dated 24 February 2004 relating to the 2009 Notes (the “2009 Trust Deed” and, together with the 2014 Trust Deed, the “Trust Deeds”) each between Citi Germany and The Law Debenture Trust Corporation p.l.c. (i) as issuer and principal obligor under the Notes and the Trust Deeds, (ii) as lender in respect of the U.S.$325,000,000 loan to Open Joint Stock Company Severstal (“Severstal”) made under the loan agreement dated 19 February 2004 between Citi Germany and Severstal and financed by the issue of the 2009 Notes and (iii) as lender in respect of the U.S.$375,000,000 loan to Severstal made under the loan agreement dated 14 April 2004 between Citi Germany and Severstal and financed by the issue of the 2014 Notes.
