Change of Board and resignation of nominated adviser
The Board of the Company today announces that it has received a proposal from QVT Financial LP, SG Option Europe and Damille Investments Limited ("Damille") which together have an interest in over fifty per cent. of the Company's shares, to appoint Brett Miller, Rhys Davies (as Chairman) and Ragaman Raghavendran to serve as directors of the Company in place of the current Board. As a result, the Board has agreed to effect these changes as it believes that it would be a waste of the Company's resources to oppose these changes since they could otherwise be procured by these shareholders requisitioning a general meeting.
The Company's nominated adviser and joint broker, Seymour Pierce Limited has notified the Company that it will stand down as nominated adviser and joint broker upon the proposed changes to the Board's composition coming into effect.
Discussions are currently under way to confirm a replacement nominated adviser for the Company and the Board has agreed that the changes outlined above will take effect on the later of 14 May 2010 or upon the replacement of the Company's nominated adviser taking effect.
The EIH Board has requested that the proposed new directors provide to the Company the necessary information required to be disclosed under paragraph (g) of Schedule Two to the Aim Rules. It is intended that this information will be published as soon as it is provided by the proposed new directors.
