Interserve Plc
(the "Company")
Change of Auditors
Pursuant to section 520(2) of the Companies Act 2006, the Company confirms that a letter has been circulated to the Company's shareholders for information only in relation to the statutory statement received from Deloitte LLP in connection with their intention not to seek re-appointment as auditors at the conclusion of their term of office.
The Audit Committee concluded that the end of the 2013 statutory audit would be an appropriate juncture at which to invite four accounting firms representing a cross-section of the market to compete for the appointment. Grant Thornton UK LLP was successful in this competitive tender. Deloitte LLP consequently ceased to hold office as auditor of the Company with effect from 13 May 2014. The appointment of Grant Thornton UK LLP was approved by shareholders at the Annual General Meeting on 13 May 2014.
The letter to shareholders will shortly be available for inspection at the National Storage Mechanism at www.hemscott.com/nsm.do and also on the Company's website at http://www.interserve.com/investor-centre/shareholder-information/advisers.
A copy of the resignation letter and statement received from Deloitte LLP has been filed with the Registrar of Companies.
