CHANGE OF AUDITOR

Following a formal tender process, Debenhams plc is pleased to announce the appointment of Ernst & Young LLP as its new auditor with effect from the year commencing 2 September 2018. Ernst & Young LLP will conduct the audit of the Company's financial statements for the financial year to 31 August 2019. The appointment of Ernst & Young LLP as auditor for the following financial year will be subject to approval by shareholders at the next Annual General Meeting of the Company to be held in 2019.

PwC will resign as auditor of the Company following the completion of the 1 September 2018 audit. They did not participate in the tender process due to the rules on the mandatory rotation of auditors.
