Change of AIFM
Urban Logistics (AIM: SHED), the specialist UK logistics REIT, announces that, as part of an internal reorganisation of the Pacific Investments group, Pacific Capital Partners Limited ("PCP") has novated its appointment as the Company's alternative investment fund manager to PCP2 Limited ("PCP2"), another wholly owned subsidiary in the Pacific Investments group.
The change of AIFM is now effective, pursuant to which PCP's appointment under the existing investment management agreement between the Company and PCP (the "IMA") has been novated to PCP2. There has been no other change to the terms of the IMA and the Pacific Investments group has confirmed to the Company that there will be no changes to the team currently providing services to the Company and that service levels will be uninterrupted by the internal reorganisation.
PCP2 is authorised and regulated by the Financial Conduct Authority. Its registered office is at 124 Sloane Street, London, SW1X 9BW.
The independent directors, Nigel Rich, Jonathan Gray, Bruce Anderson and Heather Hancock consider, having consulted with the Company's Nominated Adviser, that the novation of the IMA is fair and reasonable and in the best interests of shareholders.
