CARNIVAL CORPORATION & PLC REPORTS FOURTH QUARTER AND FULL YEAR EARNINGS Carnival Corporation & plc today announced earnings for the fourth quarter and fullyear ended November 30, 2013. The earnings of Carnival Corporation and Carnival plc havebeen consolidated, and this statement includes consolidated results on a U.S. GAAP andnon-GAAP basis. 4Q and Full Year Highlights - 4Q net revenue yields in constant dollars decreased 2.1% compared to the prior year, which was better than the company's September guidance, down 3 to 4% - 4Q net cruise costs excluding fuel per available lower berth day ("ALBD") increased 6.5% in constant dollars driven by higher advertising spend, and was higher than September guidance, up 3.5 to 4.5% - 4Q non-GAAP earnings per share (diluted) of $0.04, compared to $0.14 for the prior year - Full year non-GAAP earnings per share (diluted) of $1.58, compared to $1.94 for the prior year Outlook - At this time, cumulative advance bookings for 2014 are behind the prior year at prices in line with prior year levels - Net revenue yields on a constant dollar basis for full year 2014 expected to be down slightly compared to the prior year - Net cruise costs excluding fuel per ALBD for full year 2014 expected to be slightly higher than prior year on a constant dollar basis - Full year 2014 non-GAAP earnings per share (diluted) expected to be in the range of $1.40 to $1.80, compared to $1.58 for 2013 - 1Q 2014 non-GAAP losses per share (diluted) expected to be in the range of $(0.07) to $(0.11), compared to non-GAAP earnings per share of $0.09 in 1Q 2013 President and Chief Executive Officer Arnold Donald commenting on these results: "Accelerated progress in Carnival Cruise Lines' brand recovery had a positive impacton fourth quarter results. Carnival Corporation & plc Reports Fourth Quarter and Full Year Earnings MIAMI, Dec. 19, 2013 -- Carnival Corporation & plc (NYSE/LSE: CCL; NYSE: CUK)announced non-GAAP net income of $35 million, or $0.04 diluted EPS, for the fourth quarterof 2013 compared to non-GAAP net income for the fourth quarter of 2012 of $111 million, or$0.14 per share. For the fourth quarter of 2013, U.S. GAAP net income, which included netunrealized gains on fuel derivatives of $31 million, was $66 million, or $0.08 dilutedEPS. For the fourth quarter of 2012, U.S. GAAP net income was $93 million, or $0.12diluted EPS. Revenues for the fourth quarter of 2013 were $3.7 billion compared to $3.6billion for the prior year. Non-GAAP net income for the full year 2013 was $1.2 billion, or $1.58 diluted EPS,compared to non-GAAP net income of $1.5 billion, or $1.94 diluted EPS, for the prior year.Full year 2013 U.S. GAAP net income was $1.1 billion, or $1.39 diluted EPS compared to$1.3 billion, or $1.67 per share for the prior year. Revenues for the full year 2013 were$15.5 billion compared to $15.4 billion for the prior year. Carnival Corporation & plc President and Chief Executive Officer Arnold Donald notedthat fourth quarter earnings on a non-GAAP basis were better than anticipated in thecompany's September guidance due primarily to better than expected cruise ticket pricesand onboard spending for Carnival Cruise Lines. Key metrics for the fourth quarter 2013 compared to the prior year were as follows: - On a constant dollar basis, net revenue yields (net revenue per available lower berth day or "ALBD") decreased 2.1 percent for 4Q 2013, which was better than the company's September guidance, down 3.0 to 4.0 percent. Gross revenue yields decreased 0.9 percent in current dollars. - Net cruise costs excluding fuel per ALBD increased 6.5 percent in constant dollars, driven by higher advertising spend. Costs were higher than September guidance, up 3.5 to 4.5 percent due primarily to the timing of expenses. Gross cruise costs including fuel per ALBD in current dollars increased 1.6 percent. - Fuel prices declined 6.3 percent to $671 per metric ton for 4Q 2013 from $716 per metric ton in 4Q 2012 and were better than the September guidance of $687 per metric ton. Commenting on full year 2013, Donald stated, "Even in a challenging year, our companycontinued to produce strong cash from operations approaching $3 billion, funding ourcapital commitments and returning value to shareholders through regular dividenddistributions of $775 million and share repurchases of $100 million." Donald added that the company also made significant strides on important strategicinitiatives including the continued enhancement of its fleet with the debut of PrincessCruises' 3,500-passenger Royal Princess and AIDA Cruises' 2,200-passenger AIDAstella. Inaddition, the company announced an order for a Seabourn vessel expected in 2016 to replacethe sale of the three original Seabourn ships, which will exit the fleet during 2014 and2015. Furthermore, the company announced the retirement of an 800-passenger Costa Cruisesvessel. Donald further commented that the company's flagship brand Carnival Cruise Lines alsoundertook a number of strategic initiatives. The brand implemented a major travel agentoutreach program, Carnival Conversations, a series of roadshows reaching thousands ofagents across the country to better align with travel partners. In addition, the brandlaunched a new advertising campaign "Moments That Matter," featuring the memorablevacation moments experienced every day by millions of guests as captured through their ownimages. The "Great Vacation Guarantee," a one-of-a-kind hassle free vacation guarantee wasalso introduced. Additionally, the company increased efficiency fleetwide, achieving an additional fivepercent reduction in fuel consumption per unit this year, bringing the cumulativereduction to 23 percent since 2005. The company also furthered its environmental effortsthrough the successful testing of new "scrubber" technology and plans to installexhaust-gas cleaning scrubbers throughout the fleet. Over the next few years, the companywill further refine both the scrubber design and installation process. In addition toexceeding stricter air emission standards, this technology will help mitigate higher fuelcosts. The company also realized major milestones in the emerging Asian cruise region thisyear by doubling its presence in China, as well as launching its first season of cruisesoriginating from Japan. In addition, the company opened ten sales offices throughout Asiato support its continued expansion plans in this important emerging market. Full Year 2014 OutlookAt this time, cumulative advance bookings for 2014 are behind the prior year at prices inline with prior year levels. Since September, booking volumes for the first three quartersof 2014 are running well ahead of last year's levels at lower prices. Donald noted, "We are catching up on booking volumes and gaining momentum as we enter2014. We believe the compelling value we have in the marketplace will continue tostimulate strong demand leading to a solid wave period. We continue to expect revenueyields to turn positive in the second half of 2014 compared to the prior year." Based on current booking trends, the company forecasts full year 2014 net revenueyields, on a constant dollar basis, to be down slightly compared to the prior year (inline with the prior year on a current dollar basis). First quarter revenue yields(constant dollars) are expected to decline 3 to 4 percent compared to the prior year andimprove during the remainder of 2014 based on a recovery in ticket prices. The company expects net cruise costs excluding fuel per ALBD for full year 2014 to beslightly higher than the prior year on a constant dollar basis. Taking the above factorsinto consideration, the company forecasts full year 2014 non-GAAP diluted earnings pershare to be in the range of $1.40 to $1.80, compared to 2013 non-GAAP diluted earnings of$1.58 per share. Based on the above factors, the company expects non-GAAP diluted losses for the firstquarter 2014 to be in the range of $(0.07) to $(0.11) per share versus 2013 non-GAAPearnings of $0.09 per share. These measures enable us to separatethe impact of predictable capacity changes from the more unpredictable rate changes thataffect our business and gains and losses on ship sales including impairments, net that arenot part of our core operating business. We believe these non-GAAP measures provide usefulinformation to investors and expanded insight to measure our revenue and cost performanceas a supplement to our U.S. generally accepted accounting principles ("U.S. GAAP")consolidated financial statements. Net revenue yields are commonly used in the cruise business to measure a company'scruise segment revenue performance and for revenue management purposes. We use "net cruiserevenues" rather than "gross cruise revenues" to calculate net revenue yields. We believethat net cruise revenues is a more meaningful measure in determining revenue yield thangross cruise revenues because it reflects the cruise revenues earned net of our mostsignificant variable costs, which are travel agent commissions, cost of air and othertransportation, certain other costs that are directly associated with onboard and otherrevenues and credit card fees. Substantially all of our remaining cruise costs are largelyfixed, except for the impact of changing prices and food expenses, once our ship capacitylevels have been determined. Net passenger ticket revenues reflect gross cruise revenues, net of (1) onboard andother revenues, (2) commissions, transportation and other costs and (3) onboard and othercruise costs. Net onboard and other revenues reflect gross cruise revenues, net of (1)passenger ticket revenues, (2) commissions, transportation and other costs and (3) onboardand other cruise costs. Net passenger ticket revenue yields and net onboard and otherrevenue yields are computed by dividing net passenger ticket revenues and net onboard andother revenues by ALBDs. Net cruise costs per ALBD and net cruise costs excluding fuel per ALBD are the mostsignificant measures we use to monitor our ability to control our cruise segment costsrather than gross cruise costs per ALBD. We exclude the same variable costs that areincluded in the calculation of net cruise revenues to calculate net cruise costs with andwithout fuel to avoid duplicating these variable costs in our non-GAAP financial measures.In addition, we exclude gains and losses on ship sales including impairments, net from ourcalculation of net cruise costs with and without fuel as they are not considered part ofour core operating business and are not included in our non-GAAP net income and non-GAAPearnings per share. Finally, we changed our previously reported net cruise costs per ALBD for the threeand twelve months ended November 30, 2012 from $127.40 to $126.73 and $125.44 to $124.77,respectively. We also changed our previously reported net cruise costs excluding fuel perALBD for the three and twelve months ended November 30, 2012 from $94.39 to $93.72 and$92.36 to $91.69, respectively. These changes were made to exclude losses on ship salesincluding impairments, net to be consistent with our treatment of these types of chargesin our 2013 net cruise costs per ALBD. CARNIVAL CORPORATION & PLC NON-GAAP FINANCIAL MEASURES (CONTINUED) We have not provided estimates of future gross revenue yields or future gross cruisecosts per ALBD because the quantitative reconciliations of forecasted gross cruiserevenues to forecasted net cruise revenues or forecasted gross cruise costs to forecastednet cruise costs would include a significant amount of uncertainty in projecting the costsdeducted to arrive at this measure. As such, management does not believe that thisreconciling information would be meaningful. In addition, because our Europe, Australia & Asia cruise brands utilize the euro,sterling and Australian dollar to measure their results and financial condition, thetranslation of those operations to our U.S. dollar reporting currency results in decreasesin reported U.S. dollar revenues and expenses if the U.S. dollar strengthens against theseforeign currencies and increases in reported U.S. dollar revenues and expenses if the U.S.dollar weakens against these foreign currencies. Accordingly, we also monitor and reportthese non-GAAP financial measures assuming the 2013 periods' currency exchange rates haveremained constant with the 2012 periods' rates, or on a "constant dollar basis," in orderto remove the impact of changes in exchange rates on our non-U.S. dollar cruiseoperations. We believe that this is a useful measure since it facilitates a comparativeview of the changes in our business in a fluctuating currency exchange rate environment. (b) Our consolidated financial statements are prepared in accordance with U.S. GAAP.The presentation of our non-GAAP financial information is not intended to be considered inisolation or as a substitute for, or superior to, the financial information prepared inaccordance with U.S. GAAP. There are no specific rules for determining our non-GAAPcurrent and constant dollar financial measures and, accordingly, they are susceptible tovarying calculations, and it is possible that they may not be exactly comparable to thelike-kind information presented by other companies, which is a potential risk associatedwith using these measures to compare us to other companies. (c) We believe that the losses on ship sales including impairments, net recognized inthe three and twelve months ended November 30, 2013 and 2012 are not part of our coreoperating business and, therefore, are not an indication of our future earningsperformance. As such, we believe it is more meaningful for gains and losses on ship salesincluding impairments, net to be excluded from our net income and earnings per share and,accordingly, we present non-GAAP net income and non-GAAP earnings per share excludingthese items. In addition, we changed our previously reported non-GAAP earnings per share for thethree months and twelve ended November 30, 2012 from $0.13 to $0.14 and $1.88 to $1.94,respectively, to exclude losses on ship sales including impairments, net to be consistentwith our treatment of these types of charges in our 2013 non-GAAP earnings per share. (d) We believe that the goodwill, trademark and other impairment charges recognized inthe twelve months ended November 30, 2013 and 2012 are special charges and, therefore, arealso not an indication of our future earnings performance. As such, we also believe it ismore meaningful for these impairment charges to be excluded from our net income andearnings per share and, accordingly, we present non-GAAP net income and non-GAAP earningsper share excluding these impairment charges. (e) Under U.S. GAAP, the realized and unrealized gains and losses on fuel derivativesnot qualifying as fuel hedges are recognized currently in earnings. We believe thatunrealized gains and losses on fuel derivatives are not an indication of our earningsperformance since they relate to future periods and may not ultimately be realized in ourfuture earnings. Therefore, we believe it is more meaningful for the unrealized gains andlosses on fuel derivatives to be excluded from our net income and earnings per share and,accordingly, we present non-GAAP net income and non-GAAP earnings per share excludingthese unrealized gains and losses. We have not included in our earnings guidance the impact of unrealized gains andlosses on fuel derivatives because these unrealized amounts involve a significant amountof uncertainty, and we do not believe they are an indication of our future earningsperformance. Accordingly, our earnings guidance is presented on a non-GAAP basis only. Asa result, we did not present a reconciliation between forecasted non-GAAP diluted earningsper share guidance and forecasted U.S. GAAP diluted earnings per share guidance, since wedo not believe that the reconciliation information would be meaningful.
