MyTravel Group plc04 April 2005 My Travel Group plc 4th April 2005 MyTravel Group plc announces that the Royal Bank of Scotland Group plc notifiedthe company on 1 April 2005 of the sale of a holding of 1,131,963,416 A ordinaryshares of 1p each, which were placed with institutional investors. The company confirms that on 31 March 2005, holders of 1,101,168,506 convertiblepreference shares of 1p exercised their entitlement to convert to A ordinaryshares. This is pursuant to the quarterly conversion arrangements for non-EEAshareholders. Following the reclassification implemented on 1 April 2005, this quarterlyconversion of convertible preference shares and further ad hoc conversions ofthese shares, the company's share capital is made up as follows: A ordinary shares 11,275,617,222Convertible preference shares 2,054,211,246Deferred shares (unlisted) 544,491,152 There remain £55.9 million of convertible bonds to be converted into 281.7million A ordinary shares or convertible preference shares, depending on thenationality of the holder.
