Bank Pekao SA08 September 2006 UNOFFICIAL TRANSLATION (8 September, 2006) Report 90/2006: Registration of UniCredit Bank Ltd. capital increase (formerlyknown as Bank Pekao (Ukraina) Ltd.) The Management Board of Bank Polska Kasa Opieki S.A. ("Bank") hereby informsthat on the day of 8 September 2006, UniCredit Bank Ltd. (Bank's subsidiary)notified Bank that on 7 September 2006 the Register of Banks in the NationalBank of Ukraine, after received approval from National Bank of Ukraine,registered the amendments to the Articles of Association of UniCredit Bank Ltd.regarding the amount of the capital of UniCredit Bank Ltd. Registered capital amounts UAH 291,475,055.85 (say: two hundred ninety onemillion four hundred seventy five thousand fifty five hryvnas 85/100) whichamounts to the equivalent of PLN 180,801,977.14 (one hundred eighty milion eighthundred one thousand nine hundred seventy seven 14/100 zloty) in accordance withthe NBP table of FX rates No. 174/A/NBP/2006 of 2006-09-07. On the day of 24 July 2006, the Extraordinary General Meeting of Shareholders ofUniCredit Bank Ltd. adopted a conditional resolution (anchored to the consent ofthe National Bank of Ukraine) on the UniCredit Bank Ltd. capital increase fromthe amount of UAH 41,247,155.85 (forty one million two hundred forty seventhousand one hundred fifty five hryvnas 85/100) by the amount of UAH 250,227,900(say: two hundred fifty million two hundred twenty seven thousand nine hundredhryvnas) to the amount of UAH 291,475,055.85 (say: two hundred ninety onemillion four hundred seventy five thousand fifty five hryvnas 85/100). Bank now holds a total stake of UAH 284,397,320.85 (say: two hundred eighty fourmillion three hundred ninety seven thousand three hundred twenty hryvnas 85/100), i.e. 97.57% of UniCredit Bank Ltd. capital and carrying 97.57% of votes atthe General Meeting of Shareholders of UniCredit Bank Ltd. The remaining 2.43% of shares in the registered capital of UniCredit Bank Ltd.worth the total of UAH 7,077,735.00 (say: seven million seventy seven thousandseven hundred thirty five hryvnas) is held by "Drukbank" Sp. z o.o.
