on Capital Increase

In accordance with the extraordinary disclosure obligation stipulated under Section 55 of (Hungarian) Act CXX of 2001 on the Capital Market, MFB Hungarian Development Bank Private Limited Company (hereinafter: MFB Zrt.; or the Company) informs its investors of the following changes:

By issuing the Founders's resolution No. 30/2021. (XII.22.) the exerciser of the ownership rights over MFB Zrt. acting in accordance with its authority stipulated under point 8.2.(j) of the Articles of Association of MFB Zrt ordered to increase the share capital of MFB Zrt. by HUF 45 billion (forty-five billion Hungarian Forints) to be paid in by cash contribution.

Based on the above mentioned Founder's resolution the share capital of MFB Zrt. was increased by HUF 45 billion (forty-five billion Hungarian Forints) paid in by cash contribution. As a result of the capital increase, the share capital of MFB Zrt. is HUF 349.9 billion (three hundred and forty-nine billion nine hundred million Hungarian Forints).

The capital increase was carried out by the Minister Without Portfolio Responsible for the Management of National Assets exercising the ownership rights over MFB Zrt, by way of payment of cash contribution in the amount of HUF 45 billion (forty-five billion Hungarian Forints) to the bank account of MFB Zrt. held with the central bank of Hungary.
