on Capital Increase in MFB Invest Zrt. by MFB Zrt.

In accordance with the extraordinary disclosure obligation stipulated under Section 55 of (Hungarian) Act CXX of 2001 on the Capital Market and PM (Minister of Finance) Decree No. 24/2008 (VIII.15.), MFB Hungarian Development Bank Private Limited Company (hereinafter: MFB Zrt. or Bank) informs the public of the following:

With issuing resolution No. 28/2024. (VI.27.) the General Assembly of MFB Invest Zrt. has approved MFB Zrt. to carry out a capital increase in MFB Invest Zrt. by HUF 40,500,000,000 (forty billion five hundred million Hungarian Forints) to be paid in by cash contribution by MFB Zrt.

The total number of 40,500,000,000 dematerialized ordinary shares of series "A" will be issued with a nominal value of HUF 1 (one Hungarian Forint) and will provide the same rights as the previously issued ordinary shares.

The cash contribution of HUF 40,500,000,000 (forty billion five hundred million Hungarian Forints) will be provided by MFB Zrt. in the following manner: HUF 10,125,000,000 (ten billion one hundred twenty-five million Hungarian Forints) was paid in by cash on 12 July 2024 to the payment account of MFB Invest Zrt., and the additional HUF 30,375,000,000, (thirty billion three hundred and seventy-five million Hungarian Forints) will be paid in by 31 March 2025 to the payment account of MFB Invest Zrt.
