Cancellation of Convertible Loan Notes and new Repayment Loan
The Company announces it has today entered into the following agreements with NE10 Vodka Limited ("NVL"):
· a deed of termination to terminate the convertible loan note Instrument dated 4 June 2025, as amended on 22 July 2025 ("CLN Instrument"), and cancel the outstanding £130,000 in principal value of Convertible Loan Notes ("CLN") constituted by the CLN Instrument and held by NVL; and
· a repayment loan agreement for full and final settlement of the outstanding CLN principal and accrued interest, in the aggregate amount of £140,394, by way of a non-interest bearing repayment loan ("Loan").
The Loan is to be repaid on a date specified by the Company at its discretion, such date not being later than the date of re-admission of the Company to the Equity Shares (Commercial Companies) Category of the Official List maintained by the FCA and to the Main Market of the London Stock Exchange on completion of an RTO, unless otherwise agreed by the parties.
