Brochure of Particulars A block listing Application has been made to the Irish Stock Exchange and to theUK Listing Authority for 10,800,000 ordinary shares of nominal value of €0.001each in the capital of Smurfit Kappa Group plc to be admitted to the OfficialList of the UK Listing Authority and to the Official List of the Irish StockExchange and application has been made to the Irish Stock Exchange and theLondon Stock Exchange for these shares to be admitted to trading. These ordinary shares will be allotted from time to time pursuant to theconversion of convertible shares under the 2002 Management Equity Plan andpursuant to the exercise of warrants.
