(the "Issuer") US$100,000,000 Undated Floating Rate Notes (the "Notes") (ISIN: IE0000208938) The Company published a notice on 4 May 2005 in the Financial Times convening ameeting of holders of the Notes to consider and, if thought fit, to approve (i)the amendment of the terms and conditions of the Notes to provide for theredemption of the Notes at par, and the issue of new notes by the Issuer to theholders of the Notes (the "Exchange Resolution") and (ii) the appointment of anew trustee, Royal Exchange Trust Company Limited following the resignation ofthe current trustee, Barclays Bank Trust Company Limited (the "TrusteeResolution").
