Board of Directors Meeting

Cairo, May 2016

The Board of Directors of Edita Food Industries S.A.E. in its meetings on May 11, 2016, unanimously resolved the following:

1. Approved the Auditor's report for the financial statements for the first quarter commencing on January 1, 2016 and ending March 31, 2016.

2. Approved the Board of Directors' report for the first quarter commencing on January 1, 2016 and ending March 31, 2016.

3. Approved the Company's audited financial statements for the first quarter commencing on January 1, 2016 and ending March 31, 2016.

4. The Board of Directors was updated that the Company is in the process of evaluating the potential participation in a project in Jordan, and that the Company has entered into a preliminary and non-binding memorandum of understanding for evaluation of the project. The Company will now commence the evaluation and assessment stage in order to ascertain the investment feasibility, and the Board of Directors will be updated in this regard in due course and presented for its decision.
