Board Changes

 

 

Further to the announcement on 10 December 2015, Micro Focus International plc ("the Company" or "the Group", LSE: MCRO.L) confirms the following board changes effective today:-

 

Stephen Murdoch and Nils Brauckmann join the Board as CEO of Micro Focus and CEO of SUSE respectively. Both will report to Kevin Loosemore, Executive Chairman. Stephen Murdoch rejoins the Board having been a Director from April 2014 to November 2014.

 

· Stephen Murdoch joined the Company in November 2012 and is currently Chief Operating Officer of Micro Focus. Murdoch has a 25 year track record of success in the IT industry spanning hardware, software and services. He has held senior executive positions in general management, sales and strategy with IBM and Dell. Most recently, he was the General Manager of Europe, Middle East & Africa for Dell's Public Sector and Large Commercial Enterprise business unit.

 

· Nils Brauckmann has been President and General Manager of SUSE since May 2011. Prior to this, Brauckmann gained more than 20 years of management and leadership experience in the IT industry serving in cross-functional and international management positions in companies such as WRQ (acquired by TAG in 2004), Novell and Siemens Nixdorf, where he started his technology career.

 

Steve Schuckenbrock joins the Board as an independent non-executive director.

 

· Steve Schuckenbrock is Chief Executive at CROSSMARK, a leading sales and marketing services company. After more than 30 years of leadership experience in global companies such as Dell, EDS, PepsiCo, Frito-Lay and IBM, his expertise spans sales, marketing and technology. In his most recent role at Dell, Schuckenbrock served as President of Dell Services, and prior to that led Dell's Large Enterprise Unit and served as the Chief Information Officer. Most recently, he served as the President and CEO of Accretive Health.

 

David Golob and Prescott Ashe, who have been representing Wizard on the Board since the TAG acquisition step down from the Board today to ensure an appropriate balance of independent and non-independent directors. Wizard will retain the right to appoint one non-executive director to the Board under the terms of the Relationship Agreement signed at completion of the TAG acquisition provided they retain a shareholding of at least 15%. Wizard currently has a 26.7% shareholding in the Company.

 

Nils Brauckman and Stephen Murdoch hold no other Board positions. Steve Schuckenbrock served on the Board of Accretive Health from March 2013 to May 2015, and on the Board of CompuWare Corporation from January 2014 to December 2014. There are no other details to be disclosed in respect of the requirements of paragraph 9.6.13R of the Listing Rules of the UK Financial Services Authority.

 

Micro Focus also announces today that Karen Geary, non-executive director and Chair of the Remuneration Committee, will be joining the Company as Group Human Resources Director with effect from 1 March 2016 and will step down from the Board on that day. Paul Rodgers, who is currently Group Human Resources and Business Operations Director and is also responsible for Integration, will be moving full time into the role of Group Business Operations and Integration Director.

 

Mrs Geary joined the board of Micro Focus on 8 January 2015. She has more than 20 years of international Human Resources and business transformation experience across a variety of industries, managing organisations through periods of large scale change, acquisition and integration. She spent 15 years at The Sage Group plc, a FTSE 100 business and the world's largest provider of business software to SMEs, where she was Group Human Resources Director and a member of the Executive Committee. Prior to Sage, Mrs Geary was Human Resources Director of Stena Line, the Swedish transport and leisure operator and spent her early career in blue chip global businesses. For the last two years Mrs Geary was Chief People Officer for WANdisco plc based in San Francisco.
