Board changes and update on petition
Further to the announcement made by the Company on 12 May 2015 Mr Stuart Morris, Interim Non-Executive Chairman, and Johan Botha, Non-Executive Director, advised the Company today of their retirement as directors of the Company with immediate effect.
The Company further announces that effective today CIMGC, a substantial shareholder in Mwana, and Mr Yat Hoi Ning, a Non-Executive Director and associate of CIMGC have agreed to the withdrawal from the Petition of Messrs Morris and Botha. The succession plan for additional independent Non-Executive Directors, including the Chairman of the Company, is currently being discussed by the Board.
Kalaa Mpinga, CEO of Mwana, commented: "On behalf of the Company, I would like to extend my sincere thanks to Stuart and Johan. Stuart has performed an exemplary role as Chairman of the audit committee since he joined the Board and more recently as interim Chairman. Equally Johan's technical expertise has been invaluable as we brought back Freda Rebecca and BNC from care and maintenance. Stuart and Johan have always acted in the Company's best interests and I wish them both well in their future endeavours."
