Board Changes

 

KBC announces that the Board has been informed of Ian Miller's resignation as a Director and Chairman effective 31 December 2010 due to the pressure of his other work commitments. With effect from 1 January 2011, Ian Godden, currently the Senior Independent Director, will take over as Chairman and Michael Kirk will become the Senior Independent Director.

 

The Board is pleased to announce the appointment of Oliver Rupert Andrew Scott (aged 42) as a Non-Executive Director with effect from 1 December 2010. Oliver will bring to the Board valuable investment and corporate finance experience, particularly with smaller quoted companies. He is a partner of Kestrel Partners LLP, investment managers and advisors, and was formerly a director of Corporate Finance at KBC Peel Hunt, stockbrokers and financial advisors. Oliver has also been a Non-Executive Director of ClearSpeed Technology Ltd since September 2009.

 

Kestrel Partners LLP, of which Oliver Scott is a founding partner and in which he holds a beneficial interest, is the investment manager to each of Kestrel Opportunities, a cell of Guernsey Portfolios PCC Limited ("Kestrel Opportunities"), and Zaphiriou Zarifi Overseas Equities Inc. ("ZOE"). Kestrel Opportunities currently holds 1,655,000 ordinary shares and ZOE holds 995,000 ordinary shares, each in the capital of the Company. Mr Scott is a shareholder in Kestrel Opportunities. These holdings combined represent approximately 4.78 per cent of the Company's current issued share capital.

 

Save as disclosed above, there is no information in relation to the appointment of Oliver Scott which is required to be disclosed pursuant to Schedule 2 paragraph (g) of the AIM Rules.

 

The Board would like to thank Ian Miller for his contribution to KBC over the six years that he has been on the Board, particularly in steering the Group through a difficult economic period, and wish him well in his future endeavours.
