Clarity Commerce Solutions PLC26 June 2007 26 June 2007 Clarity Commerce Solutions plc Board Changes The Board of Clarity Commerce Solutions (AIM: CCS, "the Company") is pleased toannounce a number of changes to the Board. In summary, John O'Hara and Ken Smith, join the Board with immediate effect, SirColin Chandler remains, moving into the role of Non-Executive Deputy Chairman,Graham York remains as CEO; Tim Bittleston leaves the Board with immediateeffect and Peter Walker remains on the Board until the end of the month, when hewill step down. John O'Hara (51) is appointed, as Non-Executive Chairman, replacing TimBittleston. John brings with him a wealth of experience relevant to CCS and itsbusiness sector. John led the negotiations for Total Hospitality Solutions Limited and TotalHospitality Solutions (UK) Limited, which were acquired by Clarity on 22 May2007. He has had over 20 years experience across the technology sector in the UK, NewZealand and the US. During that time he has founded, grown and successfullyexited three technology companies; one was sold privately, one listed in the USon NASDAQ and one was publicly listed in New Zealand. In 2005 John released a book titled Commercialising Innovation and he holds anhonorary Master of Business Innovation and Entrepreneurship degree. John holds 255,801 shares in the Company representing 1.03% of the total votingrights. John also has an interest in a further 255,802 shares held in The O'HaraTrust representing a further 1.03%. Following his return to the UK in 1986, as GroupFinance Director of Alphameric plc, he was instrumental in that company'sturnaround and return to profitable growth. Since leaving Alphameric in 1996,he has been part-time financial director, or consultant, to a variety ofcompanies in the IT sector, with particular emphasis on fundraising andturnarounds. Ken was closely involved in the acquisition of Cyntergy ServicesLimited, which Clarity acquired in 2003. Under Schedule 2, paragraph (g) of the AIM Rules, the following information isdisclosed in relation to Kenneth Smith in addition to the information above: Fintraduk Ltd - An Alphameric plc subsidiary was subject to a winding uppetition in 1992 as part of the group's financial restructuring, with thecompany subsequently being dissolved on 9 November 1994. Fintradis Ltd - An Alphameric plc subsidiary was subject to a winding uppetition in 1992 as part of the group's financial restructuring, with thecompany subsequently being dissolved on 1 June 1994. Market Information Services Limited went into administrative receivership on 7February 2002. The assets of the Company were subsequently sold to MoneylineTelerate Limited. The company was dissolved on 29 July 2003.
