Further to the announcement of 19 January 2026, the Company is pleased to confirm the appointment of Toby Walter as an independent non-executive director with effect from 10 February 2026.

Toby is being appointed to succeed Annette Barnes and will also assume the role of Remuneration Committee chair following Annette's resignation from office later this month.

Toby has over 30 years executive experience in the financial services sector, having held senior roles at both HSBC and Lloyds Banking Group. Most recently, he was Group Chief Technology and Transformation Officer at Lowell Group.

In accordance with Schedule 2(g) of the AIM Rules for Companies, Toby Walter is 53 years old. In the last 5 years he has been, and still is, a director at The Charity Bank Limited and Walter Consulting Limited. There are no further disclosures to be made under Schedule 2(g) of the AIM Rules for Companies.
