Board Approves AGM Agenda, Recommends Dividends

On 27 April 2015, OAO Tatneft (the "Company") (LSE: ATAD) announced that the Board of Directors of the Company approved the following agenda of the annual shareholders meeting to be held on 26 June 2015:

1. Report of the Board of Directors on the results of Company's activities in 2014. Approval of the annual report of the Company for 2014.

2. Approval of the annual financial statements, including the profit and loss statement, of the Company, for 2014.

3. Approval of profit distribution on the basis of results of the financial year.

4. Payment of dividends for 2014.

5. Election of the Board of Directors of the Company.

6. Election of the Revision Committee of the Company.

7. Approval of the Company's auditor.

8. Approval of the new version of the Charter of the Company.

9. Approval of the new version of the Regulation of the Company on conducting General Meetings of Shareholders.

10. Approval of amendments to the Regulation of the Company on the Board of Directors.

11. Approval of amendments to the Regulation of the Company on the General Director.

12. Approval of amendments to the Regulation of the Company on the Management Board.

13. Approval of amendments to the Regulation of the Company on the Revision Commission.

The Board of Directors of the Company also resolved to recommend to the annual general shareholders meeting of the Company to be held on 26 June 2015 (i) to set 15 July 2015 as the record date on which the list of persons entitled to receive dividends will be drawn up; and (ii) to approve payment of annual dividends for 2014 in the following amounts per share:

preferred shares: 1058% of the nominal (par) value, i.e., 10 Rubles 58 Kopecks per share;

common shares: 1058% of the nominal (par) value, i.e., 10 Rubles 58 Kopecks per share.
