Reconstitution of Central Rand Gold South Africa's Board of Directors
Central Rand Gold Limited ("CRG") announces the reconstitution of the Board of Directors of its 74% owned operating subsidiary, Central Rand Gold South Africa (Pty) Ltd ("CRGSA").
The reconstitution was effected in order to maintain operating efficiency, continued good corporate governance and compliance with CRGSA's Shareholder Agreement between Central Rand Gold N.V. ("CRGNV"), CRG's wholly owned subsidiary holding 74% of CRGSA, and Puno Gold Investments (Pty) Ltd ("Puno"), CRG's current Black Economic Empowerment partner holding 26% of CRGSA. The revised Board of Directors is comprised of CRGNV's nominees John Michael McMahon* (Chairman), Johan du Toit (Chief Executive Officer) and Wayne Epstein and Puno's nominees as Mandla Mtsweni* and Mahlomola Nazo*.
