Board Appointments
Additional information required under the Listing Rules
Further to the Company's announcements dated 30 June 2020 and 1 July 2020, the following biographical information is provided in respect of Mr Peter Hambro, Dr Alya Samokhvalova, Mr Johnny Martin Smith, Mr Martin Smith and Ms Angelica Phillips, in accordance with Listing Rule 9.6.13.
Peter Hambro, Non-Executive Chairman
Mr Hambro is one of the co-founders of the Company and served as Chairman of the Group for 23 years, since its formation in 1994 until 2017. From 2018, Mr Hambro was appointed to the non-Board position of President of the Company and as Senior Adviser to the Board.
Mr Hambro was a Director of a number of public companies listed on the London Stock Exchange from 1973 to 2017 and has spent almost 40 years in the metals business. He was the Deputy Managing Director of London-based bullion trader, Mocatta and Goldsmid Limited, and served on the Mocatta Group Executive Committee.
Mr Hambro served as Non-Executive Chairman of Hong Kong listed iron ore producer, IRC Ltd ("IRC"), from July 2018 until June 2020. Mr Hambro is currently a Non-Executive Director of IRC. He is also a Non-Executive Director of XAU Resources Inc. a company listed on the TSX Venture Exchange, Canada.
Dr Alya Samokhvalova, Executive Director and CEO
Dr Samokhvalova joined Petropavlovsk in 2002. During a period of 18 years at the Company, Dr Samokhvalova held a number of senior positions, including that of Strategic Director, Group Head of External Communications and, most recently, as Deputy CEO. Dr Samokhvalova was appointed to the Board in January 2011, stepping down in April 2015 when the size of the Board was reduced. Dr Samokhvalova is a member of the Executive Committee and the Company's Safety, Sustainability and Workforce Committee.
Dr Samokhvalova holds a Masters in Investment Management from Cass Business School, London, and a PhD in Economics from the Moscow International High Business School, a BSc in Accounting and Audit (All-Russian Distance Institute of Finance and Economics, Moscow) and a BSc in Pharmacy (Alma-Ata State Medical University). She also holds a Professional Accountant Certificate from the Institute of Professional Accountants of Russia.
Dr Samokhvalova is also a Non-Executive Director of the Russo-British Chamber of Commerce and a member of the Global Advisory Board of Cass Business School.
Mr Martin Smith, Independent Non-Executive Director
Mr Smith is a Chartered Engineer and qualified mining engineer. He has nearly 45 years experience as a mining engineer, and has worked at some of the world's largest mining companies including Anglo American Corporation, Palabora Mining Company, Kier International and Costain Mining. Mr Smith acted as Deputy CEO of Petropavlovsk, a Board appointment, from January 2011 until May 2015.
Mr Johnny Martin Smith, Independent Non-Executive Director
Mr Johnny Martin Smith has extensive expierence in the mining industry, having started as a mining analyst with the stock brokers Davis Borkum Hare (latterly Bank of America Merrill Lynch) in 1983 in Johannesburg, before moving to London where he worked in specialist mining sales for SG Warburg. Subsequently he worked at UBS, Credit Suisse and Williams de Broe. He founded Smiths Corporate Advisory in 1999 which he developed into a leading investor relations business focused on the mining sector, and then sold to Westhouse Holdings in 2011, where he became head of mining. Presently he is a partner of the specialist mining advisory firm LHC Mine Finance.
He is an Independent Non-Executive Director of IRC Ltd and Chairman of its Remuneration Committee. He is an Independent Non-Executive Director of VI Mining PLC and Chairman of their Audit Committee.
Ms Angelica Phillips, Independent Non-Executive Director
Ms Phillips is an English qualified solicitor and former corporate finance partner at international law firm, Norton Rose Fulbright LLP, where she was a key figure in the firm's emerging markets practice.
In 2016, Angelica set up a legal consulting business advising energy and mining companies on fund raising, M&A, group and debt restructurings, amongst other matters. Ms Phillips is also an in-house legal counsel to a well known UK based company.
There is no other information to be provided in accordance with Listing Rule 9.6.13 of the UK Listing Rules.
