BOARD AND COMMITTEE COMPOSITION

Following a review of the Board and Committee composition, the Board announces that Sarah Whitney will be appointed as the Senior Independent Director ("SID") with immediate effect. The SID role was held by Keith Mansfield who remains on the Board as a Non-Executive Director and as Chair of the Audit & Risk Committee. Sarah has been an Independent Non-Executive Director of the Company since February 2022 and is a member of the Audit & Risk and Management Engagement Committees.

The Board is also pleased to announce it is establishing a Board ESG Committee ("EBOX ESG Committee"). The EBOX ESG Committee will be chaired by Eva-Lotta Sjöstedt, with Robert Orr, Keith Mansfield, Taco De Groot and Sarah Whitney as Members.

In addition, the Audit Committee will be changing its name to the Audit & Risk Committee, with immediate effect, to better reflect its terms of reference.
