Board and Board Committee changes
The Board of Wm Morrison Supermarkets Plc (the "Company") announces the following changes to its Board Committees and their membership following a review carried out by its Nomination Committee:
A new standing committee, to be called the Corporate Compliance and Responsibility ("CCR") Committee is to be established. The remit of this CCR Committee will be to review and oversee, under delegated authority from the Main Board (to which it will report regularly), the development and implementation of policy in relation to health and safety, environmental, competition and ethical compliance, corporate social responsibility, including Morrisons engagement with community organisations and charitable, and governance and other reputational management issues. The remit of the CCR Committee will not cover operational matters but it will perform an oversight, monitoring and advisory role in relation to these key areas in the Company's overall governance and development. The CCR Committee will be chaired by Nigel Robertson, a non-executive director and will also comprise the chairman, Sir Ian Gibson and Marc Bolland, Chief Executive Officer as well as other senior management representatives.
As part of the Board's progressive succession strategy, Susan Murray, will retire from the Board on 31 December 2009. In order to ensure a smooth transition of responsibilities, Susan will hand over the chair of the Remuneration Committee to Paul Manduca with immediate effect. Susan will remain on the Board's Audit and Nomination Committees until her retirement from the Board. Paul will remain as the Board's Senior Independent Director.
Commenting on Ms Murray's retirement from the Board, the chairman of Wm Morrison Supermarkets Plc, Sir Ian Gibson said:
