Board and Board Committee Appointments

As previously announced Chris Bailey will retire from the Board at the AGM to be held on 30 April 2015; in view of this the Board of Ultra Electronics Holdings PLC is pleased to announce the following appointments:

- Sir Robert Walmsley, as Senior Independent Director, with immediate effect. Sir Robert joined the Board as an independent non-executive director on 22 January 2009;

- John Hirst, as member of the Remuneration and Nomination Committees with immediate effect; and subject to his election at the AGM, Chair of the Audit Committee with effect from the date of the AGM. John Hirst joined the Board as an independent non-executive director on 01 January 2015; and

- Douglas Caster CBE, as Chair of the Nomination Committee with immediate effect. Douglas Caster is currently the Chairman of the Board and he joined the Board on 12 October 1993.
