Block Listing Application

Sirius Minerals Plc ("Sirius" or the "Company") provides notification that a block listing application has been made to the London Stock Exchange and the Financial Conduct Authority for the admission of up to 436,348,751 ordinary shares in the Company (the "Block Listing Shares") to the premium listing segment of the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange plc's main market for listed securities. 

The Block Listing Shares relate to the convertible bonds issued by Sirius Minerals Finance No.2 Limited, which are guaranteed by the Company, during the Company's Stage 2 financing. The issue of the convertible bonds, due 2027, which were issued in denominations of US$200,000 each up to the aggregate principal amount of US$506.6 million, was announced on 30 April 2019 (RNS number 5209X) and 1 May 2019 (RNS number 7014X).

Block Listing Shares will be issued from time to time pursuant to the conversion of the convertible bonds. The Company will update the total shares on issue on its website on a regular basis and the market will be updated on the total number of shares listed under the block listing scheme every 6 months.

The Block Listing Shares will rank pari passu in all respects with all existing ordinary shares in the Company. It is expected that the block admission will become effective on 6 June 2019.
