BLOCK LISTING APPLICATION

 

An application has been made to the Financial Conduct Authority and the London Stock Exchange for a total of 5,200,000 ordinary shares of £0.10 each in the Company to be admitted to the Official List. It is expected that admission will become effective on 5 February 2021.

 

These shares are being reserved under a Block Listing and will be issued as a result of the award of shares pursuant to the following employee share plans:

 

· Virgin Money UK PLC Deferred Equity Plan (3,000,000 shares)

· Virgin Money UK PLC Long Term Incentive Plan (1,100,000 shares)

· Virgin Money Deferred Bonus Share Plan (500,000 shares)

· Virgin Money Long Term Incentive Plan (600,000 shares)

 

When issued, these shares will rank pari passu with the existing ordinary shares.
