Block Listing Application

Application has been made to the UK Listing Authority for the admission to the Official List of a Block Listing of 20,000,000 new ordinary shares of 3 3/7 US cents each in Man Group plc and to the London Stock Exchange for such Block Listed shares to be admitted to trading.

The application is being made following the implementation of Man's Scheme of Arrangement and the creation of a new listed holding Company. The shares will be issued pursuant to the following share plans:

·; GLG Partners, Inc. 2009 Long-Term Incentive Plan

The shares will rank pari passu in all respects with the existing ordinary shares of the Company.

Admission of such shares to the Official List and to trading on the London Stock Exchange is expected to occur on 17 December 2012.
