Assura Group Transfer of Shares

Assura Group Limited (the "Company")

The Company announces that on 19 September 2012 Graham Roberts, Chief Executive Officer, transferred 1,500,000 ordinary shares of 10 pence each in the Company ("Ordinary Shares"), representing 0.28% of the Company's issued share capital, to his spouse Dianne Roberts for nil consideration. Following the transfer the total beneficial interest of Mr Roberts and his connected persons in the Ordinary Shares remains unchanged.

This notification is made in accordance with DTR 3.1.4R
