Appointment of two members of Supervisory Board

Report 21/2011: Appointment of two members of the Supervisory Board of Bank Polska Kasa Opieki S.A.

The Management Board of Bank Polska Kasa Opieki S.A. informs that the Ordinary General Meeting of Bank Polska Kasa Opieki S.A. held on 19th April 2011 appointed:

1) Mr. Alessandro Decio into the composition of the Supervisory Board of Bank Pekao S.A. effective from19th April 2011,

2) Mrs Alicja Kornasiewicz into the composition of the Supervisory Board of Bank Pekao S.A. effective from 1st May 2011.

The composition of the Supervisory Board shall be the following:

Jerzy Woźnicki - Chairman of the Supervisory Board,

Roberto Nicastro - Deputy Chairman of the Supervisory Board,

Paweł Dangel - Member of the Supervisory Board,

Alessandro Decio - Member of the Supervisory Board,

Oliver Greene - Member of the Supervisory Board,

Alicja Kornasiewicz - Member of the Supervisory Board starting from 1st May 2011,

Enrico Pavoni - Member of the Supervisory Board,

Leszek Pawłowicz - Member of the Supervisory Board,

Krzysztof Pawłowski - Member of the Supervisory Board.

Alessandro Decio

Member of the Supervisory Board of Bank Pekao S.A.

A graduate from the Department of Economics, Commerciale L. Bocconi University, Alessandro Maria Decio holds an MA from INSEAD (the European Institute for Business Administration) and has worked as a research assistant for six months at Commerciale L. Bocconi University.

Starting his finance career at IMI International, Mr. A.Decio held the post of Vice President until 1991. Subsequently, he was employed by Morgan Stanley International as an associate and afterwards by McKinsey until 1994 with the same position.

At the end of 1994 Alessandro M.Decio joined the European Bank for Reconstruction and Development (EBRD) and left in 2000 as a Director.

In June 2000, he joined UniCredit Group as the Head of Foreign Banks Strategy, Mergers, Acquisitions, Planning and Control Group. In October 2002 he was appointed Chief Operating Officer (COO) for Zagrebacka Banka within UniCredit Group. He served as COO at Bulbank in Bulgaria, another UniCredit Group company between 2003 and 2005.

Mr A.Decio was appointed Manager of UniCredit Group's Germany Integration Project at the beginning of 2006, before going on to serve as UniCredit Group Deputy Head of Integration Office from July 2006 to July 2007. Appointed as Executive Director of Yapı Kredi on 26th April 2007, he also became the Chief Operating Officer of the Bank on 1st July 2007. As of 30th January 2009 A.Decio has been appointed as the Deputy CEO of Yapı Kredi.

As of February 1st, 2011 he has become Head of Family&SME Division in UniCredit.

Member of the Board of UniCredit Leasing S.p.A., Member of the Board of CNP UniCredit Vita S.p.A, Vice President of the Board of FinecoBank

Mr. Alessandro Decio does not carry out activities competitive to the activity of Bank Pekao S.A. and is not recorded in Insolvent Debtors Register kept in accordance with the Domestic Court Register Act.

Alicja Kornasiewicz

Member of the Supervisory Board of Bank Pekao S.A. starting from 1st May 2011

Mrs. Alicja Kornasiewicz is a graduate in finance of the Central School of Planning and Statistics in Warsaw (currently the Warsaw School of Economics), holds a PhD in economy. Completed the Advanced Management Programme at Harvard Business School and the Executive Management Programme at INSEAD. She is a statutory auditor (licence no. 1777), a member of the National Chamber of Statutory Auditors.

Mrs. Alicja Kornasiewicz held different positions of growing responsibility both in private and public sectors using her extensive expertise in finances, accounting, book-keeping, economy and business, as well as her excellent negotiation skills. From 1993 to 1997 she worked at the European Bank for Reconstruction and Development. From 1997 to 2000 she served as the Secretary of State in the Ministry of Treasury.

Since September 2000 - Member of the Management Board of CAIB Investmentbank AG, since July 2008 President of UniCredit CAIB AG in Austria. She was also responsible for investment banking of the UniCredit Group in the Central and Eastern Europe, also held the position of Member of the Operating Committee of UniCredit Markets and Investment Banking.

Mrs. Alicja Kornasiewicz was Member of the Supervisory Board from 6 May 2009 to 12 January 2010 when she tendered her resignation from the held position in connection with the appointment to the Management Board of Bank Pekao S.A. From 15th February 2010 to 30th August 2010 she was Member of the Management Board of the Bank, acting President of the Management Board of the Bank, and from 31st August 2010 to 30th April 2011 - President of the Management Board of Bank Pekao S.A.

Member of the Supervisory Board UniCredit Bank in Hungary, Member of the Supervisory Board of PJSC "Ukrsotsbank" - Ukraine, Chairperson of the Supervisory Board of PJSC Unicredit Bank in Ukrainie and Member of the Board of Polish Bank Association.

Mrs. Alicja Kornasiewicz does not carry out activities competitive to the activity of Bank Pekao S.A. and is not recorded in Insolvent Debtors Register kept in accordance with the Domestic Court Register Act.
