Report 49/2010: Appointment of the entity authorized to audit the financial statements of the Bank

The Management Board of Bank Polska Kasa Opieki S.A. ("Bank") informs that on 28th of April, 2010 the Ordinary General Meeting of the Bank, has made resolution to appoint KPMG Audit Sp. z o.o. as the entity authorized to audit the financial statements of Bank Polska Kasa Opieki Spólka Akcyjna and consolidated financial statements of the Bank Polska Kasa Opieki Spólka Akcyjna Capital Group for the years 2010 and 2011, in compliance with applied by the Bank rules of "Code of Best Practices of WSE Listed Companies" regarding the appointment of the entity authorized to audit financial statement.

KPMG Audit Sp. z o.o. with registered seat in Warsaw, 51 Chłodna Street is registered with number 458 on the list of chartered auditors, entitled to audit financial statements.

Up to now Bank used services provided by KPMG Audit Sp. z o.o. in the process of auditing financial statements for years 2005-2009.

The appointment of the entity authorized to audit the financial statements was made by the Ordinary General Meeting of the Bank on the basis of Art. 395 § 5 of the Commercial Companies Code in connection with § 13 point 17 of the Statute of Bank in accordance with article 66 section 4 of the Accounting Act. (Journal of Law No. 152, pos. 1223 with the other changes).

The agreement on audit of the financial statements of the Bank Pekao S.A. and consolidated financial statement of the Bank Pekao S.A. Capital Group on period needed to audit the financial statements of the Bank for 2010 - 2011.

Legal basis:

Section 5 subsection 1, clause 19 in connection with § 25 of the Ordinance of the Minister of Finance, dated 19 February 2009 re: current and periodical information submitted by the issuers of securities and conditions of considering as equal the information required by the legal provisions of the non-member country (Journal of Law No. 33, pos. 259 with the other changes).
