Appointment of new Chairman

The Company announces that the Board has appointed Patrick Morley as Chairman and non-executive Director of Artilium plc effective from 1st February 2013.

Patrick Morley has a wealth of experience and is the former COO of Telegraaf Media Group, former CEO of Wolters Kluwer, Netherlands and Scandinavia and former CTO and member of the board of Royal KPN Netherlands. He currently serves as a member of the board of Trans Link Systems and TKH Group.

The Company's previous Chairman, Adrie Reinders, stepped down on 31 December 2012. The Board wants to thank Adrie Reinders for his great efforts and professional assistance during his term as Chairman of the Board of Artilium plc and wishes him success in his future career.

Issue of Remuneration Shares

The Company has issued 941,176 new ordinary shares of 5p each in the capital of the Company at an issue price of 8.5p per Ordinary Share in respect of services provided to the Company during the year ended 31 December 2012, to Adrie Reinders (former Chairman of the Company).

Application has been made for the 941,176 new ordinary shares in the Company to be admitted to AIM and it is expected that trading in the shares will commence on 4 February 2013.

Following this issue of Ordinary Shares, the Company advises that its capital now consists of 208,270,037 Ordinary Shares. The voting rights of these shares are identical with each share carrying the right to one vote. The total number of voting rights in the Company is 208,270,037.

The above figure of 208,270,037 may be used by shareholders of the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
