APPOINTMENT OF NEW CHAIRMAN

WATERMAN APPOINTS NEW CHAIRMAN

The Board of Waterman Group plc ("Waterman" or "the Group"), the international engineering and environmental consultancy, is pleased to announce that Michael Baker was appointed as Chairman of Waterman following the retirement of Roger Fidgen at the end of the Annual General Meeting this morning on 5th December 2014. Michael has also been appointed Chairman of the Nomination Committee and Member of the Audit and Risk Committee and the Remuneration Committee with immediate effect.

Michael Baker is a chartered surveyor with over 40 years' experience in the London property market. He was previously Chief Executive of Baker Harris Saunders Plc, which was the first surveying firm to float on the London Stock Exchange. He was also a Non-Executive Director of property company Halladale Group PLC throughout its time as a quoted company.

He has in the past been Chairman of the Royal Institution of Chartered Surveyors City branch and Master of the Chartered Surveyors Livery Company. Michael has been extremely successful throughout his career in leading people businesses and he is also very experienced and knowledgeable about the cyclical nature of the UK property and construction markets.

Michael through his professional capacity as a chartered surveyor has previously advised Waterman on property matters, including lease negotiations and lease renewals. There are no disclosures required under Listing Rule 9.6.13 in respect of Michael Baker's appointment.
