Report 9/2015: Appointment of members of the Supervisory Board of Bank Polska Kasa Opieki Spółka Akcyjna

The Management Board of Bank Polska Kasa Opieki Spółka Akcyjna ("Bank") informs that the Ordinary General Meeting of Bank Pekao S.A. on 30 April 2015 appointed Mr Dariusz Filar and Ms Katarzyna Majchrzak as Members of the Supervisory Board of the Bank effective 1 May 2015 for the current, common term of office of the Supervisory Board of the Bank.

The Management Board of the Bank informs that the Supervisory Board, having performed the assessment, gave its opinion that Mr Dariusz Filar and Ms Katarzyna Majchrzak meet the requirements for individual and collective suitability as required from members of the Supervisory Board of the Bank.

CV of Mr. Dariusz Filar

Associate Professor (Profesor nadzwyczajny) of the University of Gdańsk since 1992.

In 1973 he graduated from the University of Gdańsk with a degree in foreign trade. In 1976 he did a Ph.D. in economics, and in 1989 the post-doctoral lecturing degree (habilitation) in economics. After graduating from university he stayed at the University progressing from the assistant lecturer to the associate professor of the University of Gdańsk.

Professional Experience:

From 1992 to 1995 he was a visiting professor at the University of Michigan.

From 1999 to 2004 he took up the position of the chief economist of Bank Pekao S.A.

In 2004 he was appointed to the Monetary Policy Council of NBP. He held that function until 2010. 

From 2010 to 2014 he was Member of the Economic Council of Prime Minister.

Functions held at companies and organizations:

· Member of the Supervisory Board of PZU S.A., chairman of the Audit Committee

· Member of the Supervisory Board of BEST S.A., chairman of the Audit Committee

· Member of the Supervisory Board of the Institute for Analyses and Rating (IAiR)

Mr Dariusz Filar is not listed in the Insolvent Debtors Register maintained in accordance with the Act on the National Court Register (KRS).

CV of Ms Katarzyna Majchrzak :

Associate Professor (Profesor nadzwyczajny) of the Warsaw School of Economics, head of the Center of Value Marketing. In 1995 she did a Ph.D. in economics, and in 2012 the post-doctoral lecturing degree (habilitation) in economics in the scope of management.

Professional Experience:

From 1994 to 1995 Katarzyna Majchrzak worked as Deputy Director of Marketing in Hortex Sp. z o.o.

In 1996 she started work in Zachodni Fundusz Inwestycyjnym NFI SA and International Westfund Holdings LTD as PR and Marketing Manager.

From 1999 to 2007 she was Director of the PR and Promotion Office in PKN ORLEN SA with the responsibility of planning and supervision over implementation of the information and promotional and advertising policy of the company.

In 2007 she joined INCENTIS Corporate Solutions and INCENTIS Capital.

Functions held at companies and organizations:

· Corporate Communications Director in EDF Polska S.A.

Ms Katarzyna Majchrzak is not listed in the Insolvent Debtors Register maintained in accordance with the Act on the National Court Register (KRS).
