Further to the proposed merger announcement on November 25, 2016, Constellation Healthcare Technologies, Inc. would like to advise that the Special Committee of the Board of Directors has appointed Cassel Salpeter & Co. LLC to act as their financial advisor in relation to the 30-day "go-shop" period which expires on December 25, 2016. During the "go-shop" period the Special Committee of the Board of Directors - with the assistance of Cassel Salpeter & Co. LLC and legal advisors - may actively solicit, receive, evaluate and enter into negotiations with parties that offer alternative proposals. There can be no assurance that this process will result in a superior offer.
