Appointment of two independent Non-Executive Directors
Princess Private Equity Holding Limited is pleased to announce that Richard Battey and Fergus Dunlop have joined the Board as independent Non-Executive Directors with immediate effect.
Richard Battey (British, born 1952) is a Non-Executive Director of Juridica Investments Limited (AIM listed), AcenciA Debt Strategies Limited (LSE listed) and Northwood Capital European Fund Limited (listed on the Irish Stock Exchange). Previously, he has served as director for China Growth Opportunities Limited (AIM listed). For Juridica and AcenciA he is Chairman of the Audit Committee. He is a Fellow of the Institute of Chartered Accountants in England and Wales having qualified with Baker Sutton & Co. in London in 1977. Richard was formerly Chief Financial Officer of CanArgo Energy Corporation. Prior to that role he spent 27 years with the Schroder Group. Richard was a director of Schroders (C.I.) Limited in Guernsey from April 1994 to December 2004 where he served as Finance Director and Chief Operating Officer. He was a director of a number of the Schroder Group's Guernsey companies covering banking, investment management, trusts, insurance and private equity administration retiring from his last Schroder directorship in December 2008. There are no further disclosures required to be made in respect of LR 9.6.13 (1) - (6) of the Financial Services Authority's Listing Rules.
Fergus Dunlop (British, born 1958) is a Non-Executive Director of Resolution Limited and Schroder Oriental Income Fund Limited, both LSE listed, and three IK Investment Partners (Industri Kapital) private equity funds. Fergus was Managing Director and Partner at Südprojekt Gesellschaft für Finanzanalysen (Munich) between 2002 and 2007, where he was responsible for hedge fund and fund of fund advisory work, performance measurement and financial market research. Other past directorships include Signet Global Fixed Income Strategies Limited. From 1997 until 2001 he worked in institutional sales at Mercury Asset Management KAG (Frankfurt) (later Merrill Lynch Investment Managers KAG). Earlier in his career, from 1987, he worked for SG Warburg/ Mercury Asset Management plc in London, where he managed a joint venture with Munich Re and headed the London branch of Mercury's German-regulated business. There are no further disclosures required to be made in respect of LR 9.6.13 (1) - (6) of the Financial Services Authority's Listing Rules.
Appointment of the Chairman of the Board and Chairman of the Audit Committee
Subsequently, the new Board elected Brian Human, a Director of the Company since November 2003 and an independent Director since December 2007, as Chairman of the Board, and Richard Battey as Chairman of the Audit Committee.
Corporate Governance
The Board reconfirmed the Directors' commitment in the 2007 LSE prospectus, to follow the AIC Corporate Governance Guide, and to report against the AIC Code of Corporate Governance.
