Appointment of Director and Directors' Disclosure

 

Digital Globe Services, Ltd. (AIM: DGS), a leading provider of online customer acquisition solutions for large, consumer-facing organisations, is pleased to announce the appointment of Mohammedulla ("Mohammed") Khaishgi as a Non-Executive Director of the Board of the DGS Group, with effect from 25 October 2013.

 

Mr Khaishgi (aged 46) is highly experienced in both the technology and financial services sectors. Mr Khaishgi is Chief Operating Officer of The Resource Group International Limited and also non-executive director of IBEX Global Solutions Plc, an AIM listed company. Prior to joining The Resource Group in 2003, Mr Khaishgi was a Senior Director at Align Technology, where he managed Align's offshore contact centre and back office services operations. He was previously a Senior Investment Officer at the International Finance Corporation (private sector investment arm of the World Bank) where he was responsible for investments in the Asian telecommunications and technology sectors. Mr Khaishgi has a B.S. degree in Electrical Engineering from University of Engineering and Technology in Lahore, Pakistan, a B.A. degree in Philosophy, Politics and Economics from the University of Oxford where he was a Rhodes Scholar and an MBA from Harvard Business School.

*Mr Khaishgi was a director of Lever Arch (UK) plc from April 2006 to October 2009. The company was placed into administration in November 2009 and subsequently dissolved in November 2010. At the time of the administration the company's assets were approximately £40,000.

 

The Securities and Exchange Commission of Pakistan ("SECP") brought proceedings against The Resource Group Pakistan Limited for a delay in submitting the company's accounts within the stipulated deadlines in 2010 and the consequent failure to hold the company's AGM for that year within the stipulated deadline. As part of the proceedings, the company's Directors (including Mohammed Khaishgi) were each fined an amount of PKR 250,000 (approximately GBP 1,600) by the SECP for the above shortcomings.

 

No further disclosure is required under Paragraph (g) to Schedule Two of the AIM Rules with respect to Mr Khaishgi.

Director's Disclosure

In accordance with its disclosure obligations under AIM Rule 17, DGS hereby notifies the following additional disclosure in respect of paragraph (g) (viii) of Schedule Two of the AIM Rules for Zia Chishti, the Company's Chairman:

On 27 June 2013, the Securities and Exchange Commission of Pakistan ("SECP") concluded proceedings against Mr Muhammad Ziaullah ("Zia") Khan Chishti, as Chief Executive Officer of TRG Pakistan Limited ("TRGP"), under which Mr Chishti was found to have breached Clauses 16 (vi) and 35 (xxiii) of the Listing Regulations issued by the SECP, having sold shares in TRGP during a closed period and failing to notify the Karachi Stock Exchange. A one-time fine of PKR 400,000 (approximately GBP 2,300) was levied by the SECP in respect of the matter.

Mr Chishti has clarified that the trades at issue were part of a sale and repurchase agreement that was effectively a loan transaction with Mr Chishti's correspondent brokerage. The sales did not reflect trades for value, and Mr Chishti's ultimate beneficial ownership before and after the transaction was unchanged. Accordingly, the violation was technical in nature, and Mr Chishti remains a director and executive in good standing at TRG Pakistan.
