Appointment of Director

PhotonStar LED Group Plc (AIM: PSL, "PhotonStar" or "the Group"), the British designer and manufacturer of intelligent lighting and building control solutions, is pleased to announce the appointment of Martin Lampshire as a Non-Executive Director with immediate effect.

Martin started his career in Lloyds Bank's Commercial Services division in 1989 after completing the ACIB qualification. In 1995 he moved in to Corporate Broking, working for a number of city based brokers including Teather & Greenwood, Charles Stanley, Hichens Harrison Stockbrokers and Daniel Stewart Stockbrokers. He has assisted many companies in a variety of equity raises including IPO's, secondary fundraisings, vendor and private placings across a variety of sectors. Martin has also worked in a number of overseas financial centres including Hong Kong, Singapore, Kuala Lumpur and Dubai.

The Board will be undertaking its annual review of the Group's Board Committees in the next few weeks. This review will include the members of each committee and it is anticipated that Martin will join some of the committees following this review.

Nominated Adviser ('Nomad') Update

The Board is in discussions with a potential new Nomad to replace Northland Capital Partners ('Northland') following the Group's announcement of 1st November 2018 which confirmed that Northland would cease to be PhotonStar's Nomad at 7am on 1st February 2019.

The potential Nomad has commenced its take on due diligence process and the Board believes it's possible that the Group will be able to announce the appointment of the new Nomad on or before the 31st January 2019, although no guarantees can be given at this stage.

If the Group fails to appoint a new Nomad by 1st February 2019 the Exchange will suspend trading in the Group's AIM Securities.

Martin also provides consultancy services to Peterhouse Capital Limited who also act as the Group's joint broker. The Board is of the view that, at this time, Martin is an independent director and that there are no immediate conflicts of interest that need to be addressed. The Board will, of course, continue to monitor the matter of Martin's independence and ensure that appropriate controls are in place to address any conflicts of interest that should arise.
