Appointment of AIFM and Depositary

Pantheon International Participations plc NOTICE OF ENTRY INTO ARRANGEMENTS WITH SERVICE PROVIDERS TO ENSURE COMPLIANCEWITH THE ALTERNATIVE INVESTMENT FUND MANAGERS DIRECTIVE (2011/61/EU) ("AIFMD") Pantheon International Participations plc (the "Company") announces that witheffect from 22 July 2014, the Company entered into the arrangements necessary toensure compliance with the AIFMD. Following a review of the Company's arrangements, the Company's Board ofDirectors (the "Board") has approved the appointment of Pantheon Ventures (UK)LLP ("Pantheon"), as the Company's Alternative Investment Fund Manager ("AIFM")on the terms of and subject to the conditions of a new investment managementagreement between the Company and Pantheon, replacing the existing investmentmanagement agreement which has accordingly been terminated. The arrangements inrespect of the management fee and notice period remain materially unchanged. Pantheon has been approved as an AIFM by the UK's Financial Conduct Authority. The Board has also appointed BNP Paribas (the "Depositary") to act as theCompany's Depositary (as required by the AIFMD) on the terms and subject to theconditions of a Depositary agreement entered into between the Company, the AIFMand the Depositary.
