Al EZZ Steel Rebars S.A.E.28 December 2005 Effective as of 26 December 2005, Al Ezz Steel Rebars Co. S.A.E. (the "Company")has appointed The Bank of New York in place of Bankers Trust Company (now knownas Deutsche Bank Company Americas), as depositary in relation to a GlobalDepositary Receipts Programme established on 29 June 1999 for and on behalf ofthe Company. The new depositary is The Bank of New York, with registered offices at 1 WallStreet, New York, NY 10286. The Bank of New York was incorporated in 1784 for anindefinite period of time. The Bank of New York (i) is a banking corporationchartered under New York State law subject to regulation by the New York StateBanking Department, (ii) is a member of the United States Federal Reserve Systemsubject to regulation and supervision by the United Stated Federal DepositInsurance Corporation and (iii) has a branch in London which is authorized bythe Financial Services Authority under Part IV of the Financial Services andMarkets Act 2000. In compliance with the notice provisions of the Terms and Conditions of theGlobal Depositary Receipts, The Bank of New York will send notice to GDR Holdersregarding the change of Depositary. The notice will include a copy of theSupplemental Agreement and will contain information apprising Holders of wheredocumentation is filed and where the Holders can review certain agreementsavailable for inspection during normal business hours.
