APPLICATION TO LIST SHARES

Application has been made for the block listing of 12,661,477 ordinary shares of 0.1 pence each to the Official List of the UK Listing Authority and to trade on the London Stock Exchange's main market for listed securities.

These shares will be issued on or around the date of the court sanction hearing which is taking place today, 9 July 2018, in connection with the proposed acquisition of ZPG Plc by Zephyr Bidco Limited, a wholly-owned indirect subsidiary of funds managed by Silver Lake Management Company V, LLC, pursuant to options to be exercised in accordance with the terms of certain of ZPG Plc's employee share schemes (being the Long Term Incentive Plan, Deferred Bonus Plan, and Value Creation Plan).

On issue, the shares will rank equally with the existing issued ordinary shares of ZPG Plc.

Admission is expected to be effective on 10 July 2018.
