RSA Insurance Group plc (“the Company”)
Application for Block Listing
Application has been made to The UK Listing Authority and the London Stock Exchange for a block listing of 14,000,000 ordinary shares of 27.5p each under the following Company share plans:
Block listing under Royal & Sun Alliance 2006 Long-Term Incentive Plan (4,500,000).Block listing under the RSA Share Incentive Plan (2,000,000 shares) Block listing under the Royal & Sun Alliance Savings Related Share Option Scheme, including the 2009 RSA Sharesave Plan (7,500,000 shares)
The above shares are to trade on the London Stock Exchange and to be admitted to the Official List. Participants in the Plans have or will become entitled to these shares following the vesting of share awards and the exercise of options.
The shares shall rank pari passu with the existing issued shares of the Company.
