Annual Report and Notice of Annual General Meeting
INSPECS Group plc, a designer, manufacturer and distributor of eyewear frames to global retail chains, announces that the Annual Report and Accounts for the year ended 31 December 2020 has been distributed to shareholders together with the Notice of the Annual General Meeting ("AGM") to be held at 11:00am on 19 July 2021 at the Group's Head Office, 7-10 Kelso Place, Upper Bristol Road, Bath BA1 3AU.
Given the UK Government's current guidance on social distancing and restrictions on public gatherings, and in light of the health and safety concerns arising out of the Covid-19 pandemic, we strongly recommend that shareholders do not attend the AGM in person. The Board expects only a very limited number of Directors and employees to be in attendance at the AGM to ensure a quorum and to conduct the business of the meeting.
However, the Board recognises that the AGM provides an important opportunity to engage with shareholders. INSPECS has therefore put in place measures to enable shareholders to follow proceedings of the meeting via a conference call facility, if they wish to do so. Consequently, the Board requests that any shareholders who wish to participate at the AGM please contact the Group before 11:00am on 15 July 2021 by emailing [email protected] and expressing their wish to join the conference call. To receive the joining instructions, shareholders will need to provide evidence of their holdings or a copy of a representation letter. The Company will carry out identity verification checks with its Registrar and once these are complete, joining instructions will be provided in advance of the AGM.
Due to the inability of shareholders to attend the meeting in person, the Board strongly encourages shareholders to vote on all resolutions by completing a proxy form appointing the chairman of the meeting as proxy, to register any questions in advance and not to attend the meeting in person.

With the acquisition of Eschenbach Optik, the Group's international reach further extends across Europe and the American markets.
The Group's growth strategy going forward is to: (i) continue to grow organically; (ii) undertake further acquisitions (and drive value through leveraging the Group's internal capabilities); and (iii) extend the Group's manufacturing capacity.
