Mailing of 2012 Annual Report and Notice of 2013 Annual Meeting

Following the release on 13 March 2013 of the Company's preliminary results for the year ended 31 December 2012, MyCelx announces that the Annual Report of the Company for the year ended 31 December 2012 (the "Annual Report") has been mailed to shareholders, together with the Notice of 2013 Annual Meeting, the Form of Proxy and the Form of Direction for depository interest holders.

Copies are being placed on the Company's website at www.mycelx.com. Copies will also be available free of charge from the Company's headquarters at 470-B Woods Mill Road, Gainesville, GA 30501, USA for a period of at least one month.

Annual Meeting

The Company's 2013 Annual Meeting ("AM") will be held at 10 a.m. (BST) on Tuesday 14 May 2013 at the offices of Addleshaw Goddard LLP, Milton Gate, 60 Chiswell Street, London EC1Y 4AG.

Directorate Change

The business to be conducted at the AM includes resolutions to reappoint directors and to reappoint Grant Thornton LLP as auditors of the Company. Tim Eggar (Chairman); John Mansfield (Non-executive Vice Chairman); Connie Mixon (Chief Executive Officer); Mark Clark (Chief Financial Officer); Hal Alper (Chief Science Officer); Swinton Griffith (Non-executive Director); and Brian Rochester (Non-executive Director) will be standing for reappointment as directors of the Company. Ian Johnson (Non-executive Director) and Dr. Dale Threadgill (Non-executive Director) have advised that they will not be standing for re-appointment as directors of the Company.
