Annual Financial Report

As required by DTR 6.3.5(3), Ophir Energy plc ("Ophir" or the "Company") announces that its Annual Report has been published and is now available on the Ophir website: www.ophir-energy.com. This follows the release on 12 March 2019 of the Full Year Results Announcement for the year ended 31 December 2018. 

In compliance with 9.6.1 of the Listing Rules, the Company has today submitted a copy of the Annual Report and Accounts for the year ended 31 December 2018 to the National Storage Mechanism and these will shortly be available for inspection at www.morningstar.co.uk/uk/NSM

As explained within the Annual Report and Accounts the Board has decided not to issue the Notice of Meeting at this time, in view of the aforementioned timetable relating to the Acquisition. The 2019 Annual General Meeting (the "AGM") will be held at a date prior to 28 June 2019 and full details of the AGM will be set out in the Notice of Meeting and sent to shareholders at least 20 clear business days before the date of the meeting. 

The Disclosure and Transparency Rules ("DTR") require an announcement of the publication of certain information in full unedited text in compliance with DTR 6.3.5(2). As such the following disclosures are made below, referencing page numbers and notes to those in the accounts in the Company's Annual Report.

Audit Report and Accounts

The Full Year results announcement on 12 March 2019 included a set of condensed, financial statements and management commentary. The audited financial statements are contained in the Ophir Annual Report and Accounts. The independent Audit report of the Group and Company is contained on pages 79 to 86.

The Board considers that the Annual Report and Accounts, taken as a whole, is fair, balanced and understandable and that it provides the information necessary for shareholders to assess the Company's performance, business model and strategy.
